1. Agreement to Terms

By accessing or using our website (dunebusinessman.com) and any services provided by Dune Businessman ("we," "our," or "us") (collectively, the "Services"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the Services. These Terms constitute a legally binding agreement made between you and Dune Businessman, concerning your access to and use of the Services.

2. Services Description

Dune Businessman provides business setup consultancy, company formation assistance, trade license application and renewal, PRO services, financial and legal advisory (including accounting, VAT, trademark), visa assistance, bank account opening assistance, office solutions, digital marketing, IT support, HR and recruitment, and product import/export support services in the United Arab Emirates ("UAE"). The specifics of services provided, including scope, deliverables, and fees, will be outlined in individual service agreements, proposals, or engagement letters mutually agreed upon by Dune Businessman and the client.

3. Use of Our Website and Services

You agree to use our website and Services for lawful purposes only and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of this site by any third party. Prohibited behavior includes harassing or causing distress or inconvenience to any person, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within our website.

You are prohibited from using our site or its content:

For any unlawful purpose.
To solicit others to perform or participate in any unlawful acts.
To violate any international, federal, provincial or state regulations, rules, laws, or local ordinances, particularly those of the UAE.
To infringe upon or violate our intellectual property rights or the intellectual property rights of others.
To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.

To collect or track the personal information of others.
To spam, phish, pharm, pretext, spider, crawl, or scrape.

To interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.

4. Intellectual Property

The Service and its original content (excluding Content provided by users, if any), features, functionality, and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music on and “look and feel” of the Services, and all Intellectual Property Rights related thereto, are the exclusive property of Dune Businessman and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Dune Businessman. You agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any Dune Businessman content.

5. Client Responsibilities

Clients engaging our Services are responsible for providing accurate, complete, and truthful information necessary for the provision of those Services in a timely manner. This includes all necessary documentation, personal details, and business information as required by UAE authorities and for the proper execution of the agreed-upon services. Delays or inaccuracies in information provided by the client may impact service delivery timelines, outcomes, and may incur additional costs for rectification. Clients are also responsible for fulfilling their financial obligations as per the agreed service terms and for complying with all applicable UAE laws and regulations pertaining to their business activities.

6. Fees and Payments

Fees for our Services will be detailed in a specific service agreement, proposal, or invoice. Unless otherwise stated, all fees are quoted in UAE Dirhams (AED) and are exclusive of any applicable taxes (like VAT) or third-party government fees, which will be charged in addition where applicable. Payment terms will also be specified in the service agreement or invoice. We reserve the right to suspend or terminate services for non-payment of fees. Late payments may incur interest or penalties as specified in the agreement. All government fees are subject to change by the authorities without prior notice, and any such changes will be borne by the client.

7. Limitation of Liability

In no event shall Dune Businessman, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; (iv) unauthorized access, use or alteration of your transmissions or content; (v) any delays, rejections, or changes in regulations by government authorities or third-party institutions (e.g., banks); (vi) failure by the client to provide accurate or timely information; or (vii) any other matter relating to the service, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Our total liability to you for any and all claims arising out of or relating to the Services or these Terms, whether in contract, tort, or otherwise, shall not exceed the amount of professional fees paid by you to Dune Businessman for the specific Services giving rise to the claim in the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply to government fees or third-party charges passed through to the client.

8. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Dune Businessman provides consultancy and administrative support services. While we strive for accuracy, completeness, and timeliness in our services and the information provided, we do not provide legal, tax, or investment advice that should substitute consultation with qualified professionals in those fields. Any information, guidance, or opinions provided by us should be considered for informational and consultancy purposes only and is based on our understanding of regulations at the time of service. The ultimate responsibility for business decisions, legal and tax compliance, and adherence to all applicable UAE laws and regulations rests solely with the client. Government policies, regulations, and processing times can change without notice, and Dune Businessman cannot be held liable for such changes or their impact on the services.

Dune Businessman does not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your specific requirements or guarantee any particular outcome (e.g., license approval, visa issuance, bank account opening, AdSense approval), as these are often subject to the discretion of third-party authorities or platforms.

9. Confidentiality

Dune Businessman commits to maintaining the confidentiality of client information shared with us in the course of providing Services, in accordance with our Privacy Policy and applicable UAE laws. This obligation does not extend to information that is publicly available, becomes available through no fault of Dune Businessman, is already in our possession prior to disclosure by the client, is independently developed by us, or is required to be disclosed by law or by any governmental or other regulatory authority.

10. Termination

We may terminate or suspend your access to our Service or any service agreement immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms or the terms of a specific service agreement (e.g., non-payment of fees, provision of fraudulent information). Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account or service agreement, conditions for termination, including any applicable notice periods or termination fees, will be outlined in your specific service agreement. Provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Arab Emirates, as applicable in the Emirate of Abu Dhabi, without regard to its conflict of law provisions. Any disputes, claims or proceedings arising out of or in any way relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi.

12. Indemnification

You agree to defend, indemnify and hold harmless Dune Businessman and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service. This indemnification obligation will survive the termination of these Terms and your use of the Services.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

14. Force Majeure

Dune Businessman shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Dune Businessman's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation, natural disasters, acts of God, war, terrorism, governmental actions or restrictions, or other circumstances beyond our reasonable control.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will endeavor to provide at least 30 days' notice prior to any new terms taking effect by posting the new Terms on this site. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
